TERMS AND CONDITIONS OF USE OF THE SITE

The terms of use presented below (hereinafter the TERMS OF USE) constitute the agreement between iLed Soluciones Tecnológicas Mexico S.A. de C.V. (hereinafter iLed) and any user of the SITE whose electronic address is: https://iled.com.mx (hereinafter the SITE).

The use of the SITE by any person attributes to them the status of user (hereinafter the USER) and implies their full and unconditional acceptance of these TERMS OF USE; consequently, it is essential that the USER reads them beforehand and carefully evaluates them, so that they are aware that they are subject to them and to any modifications that they may undergo, each time they access the SITE.

If at any time the USER does not agree, in whole or in part, with these TERMS OF USE, they must immediately refrain from using the SITE in any of its parts or sections.

The USER agrees that in various parts of the SITE there may be special stipulations that, as the case may be, will substitute, complement, and/or modify the TERMS OF USE (hereinafter the PARTICULAR CONDITIONS); for this reason, it is also essential that the USER reads them beforehand in each case and, if they do not agree, in whole or in part, with them, refrains from using the part or section of the SITE regulated under that PARTICULAR CONDITION or CONDITIONS. If the USER uses the part of the SITE regulated by one or more PARTICULAR CONDITIONS, it will be understood that they submit to them fully and unconditionally.

ACCESS AND USE OF THE SITE

Access to and use of the SITE by iLed is free of charge for USERS. The USER will be obliged to register or sign up on the SITE only when specifically requested to do so.

ACCESS AND USE OF THE SITE

Through the SITE, iLed provides USERS with access to various information provided by iLed or by persons linked to said information directly or indirectly (hereinafter the CONTENT).

The USER acknowledges that the use of the SITE does not imply any ownership right over it, any of its elements, or the CONTENT.

iLed reserves the right to modify at any time and without prior notice the presentation, configuration, information, CONTENT, and in general any part or aspect directly or indirectly related to the SITE.

CONTENT

Obligation to make correct use of the site and the content The USER undertakes to use the SITE and the CONTENT in accordance with applicable laws, the provisions of these TERMS OF USE, and with respect for public order. The USER undertakes to use the SITE and any CONTENT or aspect related to it, in a manner that does not harm the rights or interests of iLed, persons directly or indirectly linked to it, or third parties. The USER will use the SITE and/or the CONTENT in a manner that does not damage, disable, deteriorate, or impair them, in whole or in part.

MEANS FOR OBTAINING CONTENT

The USER shall refrain from obtaining or attempting to obtain information, messages, graphics, drawings, sound and/or image files, photographs, recordings, software, and in general, any type of material accessible through the SITE or the CONTENT.

The CONTENT and the elements found on the SITE may be used solely by means of the procedures established and indicated within the SITE itself.

CORRECT USE OF THE CONTENT

The USER undertakes to use the CONTENT and the elements used on the SITE diligently, correctly, and lawfully, and in particular, undertakes to refrain from: (a) using the CONTENT in a manner, for purposes, or with effects contrary to the law, public order, and the provisions established by iLed for the use of this SITE; (b) copying, disseminating, modifying, reproducing, distributing, or using in any way, whether for profit or not, the CONTENT and the elements used on the SITE, unless they have the express and written authorization of iLed; (c) modifying or manipulating the trademarks, logos, commercial notices, trade names, and distinctive signs in general of iLed, the SITE, or persons directly or indirectly linked to iLed (unless they have their written authorization); (d) suppressing, circumventing, or modifying the CONTENT and the elements used on the SITE, as well as the technical protection devices, or any mechanism or procedure established on the SITE.

iLed declares that all CONTENT and elements used on the SITE are duly registered and protected under the corresponding authorities and laws in Mexico. The USER undertakes to respect all Intellectual Property rights over the CONTENT and the elements used on the SITE of which iLed is the owner.

SOFTWARE CONTENT

The Software CONTENT provided by iLed is for general information and should not be used as a substitute for the treatment, diagnosis, and/or advice of qualified professionals. The USER should clarify any doubts about giant LED screens, LED Displays, and LED Traffic Lights with their responsible professional. iLed assumes no responsibility for the risk to their projects that the information contained on the SITE might cause. The USER must take into account that the information on the SITE is updated periodically and may not have the most up-to-date Software information. The use of the SITE does not create a relationship between iLed and the user, so iLed is not obliged to follow up with USERS.

Use of the site, content, and content under the exclusive responsibility of the user

By simply accessing the SITE, the USER acknowledges and accepts that the use of the SITE and the CONTENT is under their sole and strict responsibility; therefore, iLed will not at any time and under any circumstances be responsible for any malfunction or problem that may occur in the computer equipment (hardware) or computer programs (software) that the USER uses to access or browse any part of the SITE.

EXCLUSION OF WARRANTIES AND LIABILITY

Exclusion of Warranties and Liability for the Operation of the SITE and CONTENT, viruses, and other harmful elements. iLed does not control and does not guarantee the absence of viruses in the CONTENT, nor the absence of other elements in the CONTENT that could cause alterations in the USER’s computer system (software and/or hardware) or in the electronic documents and files stored in their computer system.

SITES AND CONTENT EXTERNAL TO THE SITE AND THE CONTENT

As a private, independent company unrelated to political and religious partisanship, iLed does not allow the publication of content that contravenes this nature and reserves the right to accept publishing or suggesting sites, sub-sites, or material external to the SITE and iLed that it considers of interest to USERS. If it does so, iLed is not responsible in any way for said sites and materials, nor for the USER’s access to or use of them.

Similarly, any Internet site and/or sub-site external to the SITE may have a link (connection, hyperlink, “link”) to the SITE or CONTENT with or without iLed’s authorization. Therefore, iLed is not responsible for the origin, uses, and destinations of said links. Likewise, the person responsible for sites and/or sub-sites that mention or handle a link to the SITE and/or the CONTENT is not necessarily authorized to handle said links, nor to promote iLed, the SITE, or the CONTENT. iLed assumes no responsibility for said sites, nor for their content external to the SITE, nor does it accept any responsibility for advertising, unless there is a contract previously signed by the parties.

DENIAL AND WITHDRAWAL OF ACCESS TO THE SITE AND/OR CONTENT

iLed reserves the right to deny or withdraw access to the SITE and/or the CONTENT at any time and without prior notice, on its own initiative or at the request of any person, to any USER for any reason, including without limitation those USERS who misuse the SITE, any of its parts or sections, or the CONTENT, or who fail to comply, in whole or in part, with these TERMS OF USE or the applicable PARTICULAR CONDITIONS.

DURATION AND TERMINATION

The SITE and the CONTENT have an indefinite duration. However, iLed may terminate, suspend, or interrupt at any time and without prior notice the SITE and/or any of the CONTENT.

OBLIGATION TO FOLLOW INSTRUCTIONS

The USER undertakes to follow to the letter any instruction given by iLed, by personnel authorized by iLed, related to the SITE, regarding any mechanism or procedure established to use the SITE and the CONTENT. The USER shall only follow instructions given by iLed.

Liability for damages The USER is responsible for any damage and/or harm of any nature caused by failing to comply with these TERMS OF USE or any applicable regulations, thereby releasing iLed from all civil, criminal, administrative, or any other type of liability.

Notwithstanding the provisions of the preceding paragraph, in the event that iLed is sanctioned or convicted by a competent authority in any proceeding related to civil, criminal, administrative, or any other type of liability, it will notify the responsible USER, who must pay iLed the amount they have been ordered to cover, as well as the costs, fees, and other expenses incurred, within 15 calendar days following notification. In case of delay in payment within the indicated period, THE USER agrees to pay iLed, as a penalty clause, an amount equivalent to the principal sum.

PERSONAL DATA

To use or enjoy some of the CONTENT, it is necessary for the USER to previously provide iLed with certain personal data (hereinafter PERSONAL DATA) that iLed may manage automatically or not. The USER, by accessing the SITE or any of the CONTENT where PERSONAL DATA is required, is authorizing iLed to perform analysis and studies based on it.

The USER undertakes to provide truthful and reliable PERSONAL DATA, and if they wish not to provide it in the parts of the SITE where it is requested, they must refrain from using that part or those parts or sections of the SITE. If the USER provides false or misleading information, iLed may deny them access to the SITE and the CONTENT within it, without prejudice to being able to claim any corresponding indemnities.

By providing their PERSONAL DATA on the SITE, the USER authorizes iLed to disclose the respective information to any competent authority, if requested through the appropriate legal means. iLed will not share any personal information that has been provided with third parties, unless it is required to provide a service or product requested by the USER.

LICENSE

iLed authorizes the USER to use the SITE exclusively under the TERMS AND CONDITIONS expressed herein, without this implying that iLed grants the USER any license or authorization, or any type of right other than the aforementioned use, regarding iLed’s “Intellectual Property.” “Intellectual Property” shall be understood to mean all trademarks registered and/or used in Mexico or abroad by iLed, as well as all rights over inventions (patented or not), industrial designs, utility models, confidential information, trade names, commercial notices, copyright reservations, domain names, as well as all types of economic rights over works and creations protected by copyright and other forms of industrial or intellectual property recognized or that may come to be recognized by the corresponding laws.

OTHER PROVISIONS

Form. The USER accepts that a printed version of these TERMS AND CONDITIONS, and of any communication sent and/or received electronically, will be admissible as evidence in any judicial and/or administrative proceeding.

Applicable law and jurisdiction. In all matters related to the interpretation and compliance with the provisions herein, by simply accessing the SITE, USERS accept to submit to the applicable laws and the jurisdiction of the competent courts in Mexico, waiving any other jurisdiction that might correspond to them due to their present or future domiciles, or for any other reason.

INEFFECTIVE PROVISIONS

In the event that any of the TERMS AND CONDITIONS expressed herein is considered unenforceable or is declared null or invalid according to applicable legislation, it will be replaced by a term or condition that is valid and can more rigorously fulfill the objective of the unenforceable provision or one that has been declared null or invalid. The other terms and conditions will remain in full force and effect.

RIGHTS

Any right not expressly conferred in this document is understood to be reserved to iLed.
